1. Acceptance of Terms

By accessing or using Wei Labs' website, web applications, mobile applications (iOS and Android), or consulting services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

2. Service Description

Wei Labs provides a range of services and products, including:

Consulting Services

• AI and automation consulting
• Software and systems engineering
• Architecture and technical strategy
• Product delivery and team enablement
• Technical advisory and code reviews

Specific consulting services, deliverables, timelines, and pricing are defined in individual consulting agreements or statements of work.

Software Products and Applications

We develop and operate web applications and mobile applications (available on iOS and Android) that may include:

• User account creation and management
• Content creation, storage, and sharing features
• AI-powered features and recommendations
• Collaboration and social features
• Premium features available through subscription or in-app purchases
• Integration with third-party services

Features and functionality may vary by product and may be updated or discontinued at our discretion.

3. Eligibility

For Consulting Services: Our consulting services are intended for businesses and individuals who are at least 18 years of age.

For Applications: Our applications are intended for users who are at least 13 years of age. If you are between 13 and 18 years old, you may only use our applications with the permission and supervision of a parent or legal guardian who agrees to be bound by these Terms.

By using our Services, you represent and warrant that you meet the applicable age requirements and have the legal capacity to enter into these Terms.

4. Account Registration and Security

To access certain features of our applications, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

5. User Content

By submitting User Content, you grant Wei Labs a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purposes of:

• Backing up and securing your content

Content Standards

You are solely responsible for your User Content. You represent and warrant that your User Content:

• Does not violate any laws, regulations, or third-party rights
• Does not contain malicious code, viruses, or harmful materials
• Does not infringe any intellectual property rights
• Does not contain hate speech, harassment, or threats
• Is not deceptive, fraudulent, or misleading

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information in a timely manner
• Designate appropriate personnel to work with our team
• Comply with all applicable laws and regulations
• Pay all fees according to agreed-upon terms
• Maintain the confidentiality of any proprietary information shared by Wei Labs

7. Intellectual Property

Client-Owned Materials

You retain all ownership rights to any materials, data, content, or intellectual property you provide to us ("Client Materials"). By engaging our services, you grant Wei Labs a non-exclusive, limited license to use Client Materials solely for the purpose of providing consulting services.

Deliverables

Ownership of work product and deliverables created during consulting engagements will be specified in individual consulting agreements or statements of work.

Wei Labs Property

Wei Labs retains all rights to our methodologies, tools, frameworks, and pre-existing intellectual property. Nothing in these Terms grants you any rights to Wei Labs' proprietary information or intellectual property except as explicitly stated in a consulting agreement.

8. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt our services
• Reverse engineer, decompile, or disassemble any software or tools we provide
• Use our services to transmit malware, viruses, or harmful code
• Violate any applicable laws, regulations, or third-party rights
• Impersonate any person or entity or misrepresent your affiliation

9. Consulting Services and Recommendations

Our consulting services may include recommendations, advice, and technical guidance. You acknowledge and agree that:

• All recommendations and advice are based on the information provided to us and our professional judgment
• You are responsible for independently evaluating and verifying any recommendations before implementation
• Implementation of our recommendations is at your own discretion and risk
• We do not guarantee specific outcomes or results from our consulting services
• Technology and business environments change rapidly, and recommendations may become outdated

10. Third-Party Services and Tools

Our services may involve or reference third-party software, tools, platforms, or services. We are not responsible for the content, privacy practices, functionality, or terms of any third-party services. Your use of third-party services is governed by their respective terms and conditions.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. Specific confidentiality obligations will be detailed in individual consulting agreements or non-disclosure agreements.

12. Payment Terms

Consulting Services

Payment terms, rates, and invoicing procedures are specified in individual consulting agreements. Late payments may incur interest charges or result in suspension of services.

Subscriptions and In-App Purchases

Our applications may offer paid features through subscriptions or one-time in-app purchases:

• Subscriptions: Automatically renew until canceled. You may cancel at any time through your account settings or the app store
• Free Trials: May convert to paid subscriptions unless canceled before the trial ends
• Pricing: Subscription prices are subject to change with notice to active subscribers
• Refunds: Generally handled through the Apple App Store or Google Play Store according to their refund policies
• Payment Processing: Payments are processed through the applicable app store

You are responsible for all taxes, fees, and charges associated with your use of our Services.

11. App Store Terms

If you download our mobile applications from the Apple App Store or Google Play Store, the following additional terms apply:

Apple App Store

You acknowledge that these Terms are between you and Wei Labs only, not with Apple. Apple has no obligation to provide maintenance and support services. In the event of any failure to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation. Apple is not responsible for addressing claims by you or third parties relating to the app or your possession/use of the app.

Google Play Store

You acknowledge that these Terms are between you and Wei Labs only, not with Google. Your use of the application must comply with Google Play's Terms of Service.

12. AI-Generated Content

Our Services may include AI-powered features that generate recommendations, content, or suggestions. You acknowledge and agree that:

• AI-generated content is provided for informational purposes only
• You are responsible for independently verifying any AI-generated information before relying on it
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• AI models may occasionally produce inaccurate or unexpected results
• You should not rely solely on AI-generated content for critical decisions

13. Warranties and Disclaimers

Professional Services: We will provide our services in a professional and workmanlike manner consistent with industry standards.

DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED IN A CONSULTING AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEI LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

Our total liability to you for any claims arising from or related to our services shall not exceed the fees paid by you to Wei Labs in the twelve (12) months preceding the claim, or $10,000, whichever is less, unless otherwise specified in a consulting agreement.

15. Indemnification

You agree to indemnify, defend, and hold harmless Wei Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

16. Termination

Either party may terminate a consulting engagement according to the terms specified in the consulting agreement. We reserve the right to suspend or terminate your access to our services if you violate these Terms. Upon termination, you remain responsible for all fees incurred prior to termination.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with any consulting agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Wei Labs regarding our services and supersede all prior agreements and understandings.
